These Terms and Conditions (“Terms”) govern your access to and use of pleaseinvoice.me (the “Service”), provided by Garden Route Innovation and Technology Hub NPC, CIPC registration number 2021/502703/08, a non-profit company registered in the Republic of South Africa, with its registered address at Office Suite #2, York Street Blvd Shopping Center, George South, George, Western Cape, 6529, South Africa (“we”, “us”, “the Company”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of the Service

pleaseinvoice.me allows small businesses to create, manage, and send invoices to their clients by email. The Service offers:

We may change the features, limits, or pricing of any plan at our discretion, and will give you reasonable notice of material changes affecting a paid plan you are subscribed to.

2. Eligibility and account registration

3. Your responsibilities regarding client data

When you use the Service, you will enter personal information about your own clients (such as their name, email address, and billing details) in order to generate and send invoices.

You confirm and agree that:

4. Acceptable use

You agree not to use the Service to:

We may suspend or terminate your account for any breach of this section, at our discretion.

5. Payments

We do not process, collect, or hold any payment card, banking, or financial information on your behalf, and we do not accept payment from your clients on your own invoices.

If the Service, now or in future, offers functionality to help your clients pay an invoice online, this is enabled by connecting your own, existing account with a third-party payment service provider. In that case:

Where a paid subscription plan is introduced for the Service itself (i.e., what you pay us for extra features), separate payment terms for that subscription will be published and will form part of these Terms.

6. Intellectual property

7. Availability and changes to the Service

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, including free-plan features, with reasonable notice where reasonably practicable.

8. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by South African law.

We do not warrant that invoices generated through the Service will comply with every regulatory or tax requirement applicable to your specific business or industry. You remain responsible for ensuring your invoices meet any legal, tax (including VAT), or industry-specific requirements that apply to you.

9. Limitation of liability

To the maximum extent permitted by law:

10. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, liability, or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right, including in relation to your clients’ personal information.

11. Termination

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts having jurisdiction over the Western Cape (George Magistrate’s Court / Western Cape High Court, as appropriate to the value and nature of the claim).

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. Where changes are material, we will take reasonable steps to notify you.
